Terms of Service

1. Agreement

By engaging ModeEase ("we", "us") for services, or by using our website, you agree to these terms. Each project is further governed by a written proposal or quote that we provide before work begins.

2. Our services

We provide AI configuration and setup services for e-commerce businesses, including customer service bots, content tools, and automation workflows. Deliverables are specified in each project's proposal.

3. Fees & payment

• Setup fees are quoted before work begins and are payable as stated in the proposal (typically 50% upfront / 50% on delivery, or as agreed).
• Monthly care subscriptions are billed in advance on a recurring basis and can be cancelled with 30 days' notice.
• AI model usage fees are not included in setup fees. AI model providers (which may include various global providers) bill usage directly based on tokens consumed by your tools. We will help you estimate and control these costs.
• All prices are quoted in USD unless stated otherwise.

4. Delivery & revisions

Estimated delivery times are provided in each proposal. Standard projects include one round of revisions after initial delivery. Additional revision rounds or scope changes may be quoted separately.

5. Client responsibilities

• Provide accurate information about your business, policies, and requirements.
• Provide access to accounts or platforms needed to configure your tools (credentials can be shared securely and revoked after setup).
• Review and approve deliverables within a reasonable time (7 days) so projects can progress.

6. Intellectual property

Upon full payment, you own the final deliverables we create for you (configured tools, prompts, content). We retain the right to use generic, non-confidential aspects of our work (e.g., templates and methodologies) for other clients. You grant us permission to reference your project as a case study unless you opt out in writing.

7. Confidentiality

We treat your business information as confidential and use it only to deliver our services. We do not share your data with third parties except as needed to operate your tools (e.g., AI model providers).

8. Limitation of liability

Our services are provided "as is". To the maximum extent permitted by law, ModeEase is not liable for indirect, incidental, or consequential damages, including lost profits, arising from the use of our services. Our total liability for any claim is limited to the fees you paid us for the specific service in question.

9. Third-party services

Your tools may depend on third-party platforms (Coze, WhatsApp, Telegram, Shopify, AI model APIs, etc.). We are not responsible for outages, policy changes, or fees of third-party services. We will help you choose reliable providers and migrate if needed.

10. Termination

Either party may end a project with written notice. You pay for work completed up to the termination date. Monthly subscriptions end at the end of the paid period.

11. Governing law & disputes

These terms are governed by the laws of Hong Kong SAR, China. Disputes will first be addressed through good-faith negotiation, then, if unresolved, through arbitration in Hong Kong.
